Triaster AI Services Addendum

Definitions

 

Acceptable Use Policy means the Triaster Acceptable Use Policy published at https://www.triaster.co.uk/acceptableusepolicy (or any successor URL), as amended by Triaster from time to time in accordance with the Agreement.

AI Credits prepaid monetary credits purchased by the Customer for use of the AI Services.

AI Services optional artificial intelligence functionality, generative AI capabilities, assistants, summarisation tools, knowledge extraction services, content generation services, or related AI-powered functionality made available by Triaster.

AI Tokens usage measurement units determined by Triaster for administration, allocation, throttling, billing, or monitoring of AI Services consumption.

Customer Content prompts, instructions, uploaded material, process information, documents, metadata, Customer Data, Customer Personal Data, or other information submitted through the AI Services.

Outputs generated text, summaries, recommendations, generated process content, responses, or other materials produced through the AI Services.

Process Library Terms means the Triaster Process Library Terms and Conditions published at https://www.triaster.co.uk/processlibrary-terms, as amended from time to time.

1. Relationship with Existing Terms

This Addendum forms part of the Agreement and supplements the Process Library Terms.

Except as expressly amended by this Addendum, the remainder of the Agreement shall remain unchanged and in full force and effect.

Nothing in this Addendum shall expand Triaster's obligations under clause 17 except to the extent expressly stated.

In the event of conflict between this Addendum and the Agreement, this Addendum shall prevail solely in relation to the AI Services.

In the event of conflict between this Addendum and the Acceptable Use Policy, this Addendum shall prevail to the extent of the conflict.

2. Scope of AI Services

Triaster may provide AI Services as an optional Supplemental Service, Subscription Add-On, or integrated Cloud Service capability.

The AI Services may utilise third-party artificial intelligence providers, APIs, cloud infrastructure providers, subprocessors, hosting environments, telemetry services, or processing services selected by Triaster from time to time.

Triaster may modify, suspend, replace, withdraw, restrict, or discontinue AI models, providers, features, processing locations, or functionality where reasonably required for operational, technical, legal, security, regulatory, provider-related, or commercial reasons.

Use of the AI Services shall additionally be subject to the Acceptable Use Policy.

3. AI Credits and Usage Model

AI Services are provided on a prepaid consumption basis.

Customers may purchase AI Credits in minimum purchase blocks of GBP 5,000 unless otherwise agreed in writing.

Triaster may provide an included weekly AI usage allowance equivalent to GBP 5 per week administered through AI Token allocations determined by Triaster.

Unused allowances shall not roll over, accumulate, transfer, or convert into monetary value.

AI Credits shall be consumed based on AI Token usage or other consumption metrics determined by Triaster.

Triaster may amend AI Token calculations, model weighting, processing multipliers, or consumption methodologies from time to time to reflect changes in infrastructure costs, third-party provider pricing, technical characteristics, service evolution, or operational requirements.

4. AI Services Excluded from SLA Commitments

Unless expressly stated otherwise in an Order Form, Statement of Work, or Support Policy, the AI Services are provided on an as available basis and are excluded from any Uptime Service Level, Support Service Level, or Support Service Credit commitments applying to the Cloud Services generally.

Triaster does not guarantee uninterrupted availability of the AI Services or availability of any specific model, provider, processing speed, response characteristic, or feature.

5. Data Protection and International Processing

This clause supplements clause 17 and shall be interpreted consistently with clause 17 wherever reasonably possible.

To the extent Customer Personal Data is processed through the AI Services, the Customer shall remain controller and Triaster shall act as processor solely for the purpose of providing the AI Services.

Customer Content submitted through the AI Services may be processed by approved third-party providers, subprocessors, cloud infrastructure providers, and AI model providers located within or outside the United Kingdom or European Economic Area.

International transfers shall be governed by the transfer mechanisms and safeguards referenced within clause 17, the applicable Data Processing Addendum, or equivalent safeguards implemented by Triaster or its subprocessors from time to time.

Triaster intends to configure applicable third-party AI provider services using business-processing or no-training settings where commercially and technically available.

Unless expressly agreed otherwise in writing: (a) Triaster does not guarantee UK-only or EEA-only processing; (b) Customer Content shall not intentionally be used by Triaster to train proprietary foundation AI models; and (c) the Customer shall avoid submitting special category personal data, payment card information, classified information, or highly sensitive regulated information into the AI Services.

Triaster may retain prompts, Outputs, telemetry, logs, usage records, and technical metadata for support, security, abuse prevention, troubleshooting, auditing, billing, legal compliance, and service improvement purposes for so long as reasonably necessary for those purposes.

6. Regulatory Change and AI Governance

Triaster may modify, suspend, restrict, replace, or discontinue aspects of the AI Services where reasonably necessary to: (a) comply with applicable law, regulation, regulatory guidance, industry standards, regulator expectations, court decisions, or third-party provider requirements; (b) address evolving legal or regulatory requirements relating to artificial intelligence, automated decision-making, data protection, intellectual property, cybersecurity, digital services, online safety, or sector-specific regulation; (c) implement safeguards, transparency measures, usage controls, record-keeping, technical restrictions, or governance controls reasonably required in light of applicable law or regulatory guidance; or (d) reduce material legal, operational, security, ethical, reputational, or compliance risk.

The Customer acknowledges that the legal and regulatory framework applicable to artificial intelligence technologies is continuing to evolve, including under the UK GDPR, the Data Protection Act 2018, the Data (Use and Access) Act 2025, applicable ICO guidance, the UK Government's pro-innovation approach to AI regulation, and, where relevant to the Customer's use or territory, Regulation (EU) 2024/1689 (the EU Artificial Intelligence Act). Nothing in this Addendum shall be interpreted as a representation that the AI Services are suitable for any high-risk, regulated, or legally restricted use case unless expressly agreed in writing.

Triaster may update the Acceptable Use Policy from time to time to reflect changes in applicable law, regulation, regulatory guidance, provider requirements, operational controls, security requirements, technical architecture, service functionality, evolving artificial intelligence governance standards, or operational experience gained from use of the AI Services.

7. Beta and Preview AI Features

Triaster may designate certain AI functionality as beta, preview, experimental, pilot, early access, or evaluation functionality (Beta Features).

Beta Features may be modified, suspended, limited, or withdrawn at any time and may operate with reduced documentation, support, availability, performance, security review, or functional completeness.

Unless expressly agreed otherwise in an Order Form or Statement of Work, Beta Features are provided for evaluation and feedback purposes only, are excluded from any Uptime Service Level, Support Service Level, Support Service Credit, warranty, indemnity, or production support commitment, and should not be used as the sole basis for production, operational, regulated, safety-critical, or legally significant decisions.

8. Security and Operational Controls

Triaster shall maintain reasonable technical and organisational measures appropriate to the nature of the AI Services.

Such measures may include encryption in transit, access controls, authentication controls, operational logging, logical segregation measures, monitoring controls, vulnerability management processes, and related operational safeguards.

References to security measures within this Addendum are illustrative only and do not constitute guarantees that any specific technical control, certification, or security architecture shall be continuously available or implemented in any particular manner unless expressly agreed in writing.

9. Confidentiality

Customer Content submitted through the AI Services shall remain subject to the confidentiality provisions of the Agreement.

Outputs generated specifically from Customer Content shall be treated as Customer Confidential Information except to the extent independently generated, publicly available, lawfully obtained from another source, or generated from generic prompts not materially derived from Customer Confidential Information.

Triaster shall require personnel and applicable subprocessors involved in delivery of the AI Services to be subject to appropriate confidentiality obligations.

10. Intellectual Property and Outputs


The Customer retains all rights, title, and interest in and to Customer Content.

Subject to payment of all applicable Charges, and to the extent permitted by applicable law and third-party provider terms, Outputs generated specifically from Customer Content shall belong to the Customer.

Triaster retains all rights, title, and interest in the AI Services, Software, models, methodologies, systems, and underlying platform technology.

Due to the probabilistic nature of artificial intelligence technologies, Outputs generated for the Customer may be similar or identical to outputs generated for other users or customers.

Triaster does not warrant that Outputs will be unique, non-infringing, protectable as intellectual property, or suitable for autonomous operational use.

11. Acceptable and Prohibited AI Use

The Customer shall comply, and shall ensure that its Authorised Users comply, with the Acceptable Use Policy in connection with use of the AI Services.

The Customer shall not use the AI Services: (a) for unlawful, discriminatory, fraudulent, defamatory, abusive, or harmful purposes; (b) to generate malware, phishing material, malicious code, or harmful technical content; (c) for fully automated legal, medical, employment, insurance, credit, recruitment, safety-critical, or regulated decision-making without appropriate independent human review; (d) as the sole system of record or authoritative operational decision-making mechanism; or (e) in breach of applicable law, regulation, regulatory guidance, or provider usage policies.

The Customer remains responsible for all prompts, Customer Content, and reliance upon Outputs.

12. Outputs and Customer Responsibility

Outputs are generated probabilistically using artificial intelligence technologies and may contain inaccuracies, omissions, hallucinations, outdated information, incorrect assumptions, or misleading content.

The Customer remains solely responsible for independently reviewing and validating all Outputs before reliance, publication, implementation, operational use, or decision-making.

Triaster shall not be liable for losses arising from Customer reliance upon Outputs without appropriate human review and verification.

13. Third-Party Providers

The AI Services may depend upon third-party providers including large language model providers, infrastructure providers, telemetry providers, and external AI processing services.

The availability, functionality, performance, and behaviour of the AI Services may be affected by provider limitations, outages, policy changes, pricing changes, model changes, legal restrictions, or technical constraints outside Triaster's reasonable control.

14. Acceptance Mechanism

For Enterprise Services customers, the preferred mechanism for adoption of the AI Services shall be execution of an Order Form, Addendum, Statement of Work, or written acceptance.

For PAYG Services or Free Services, acceptance may occur through click-through acceptance, activation, purchase of AI Credits, or use of the AI Services.

Use of the AI Services following presentation of this Addendum shall constitute acceptance to the extent permitted by applicable law.

15. Liability Limitations

Subject to clause 20 of the Agreement and to the maximum extent permitted by law: (a) Triaster excludes all implied warranties relating to the AI Services including warranties of accuracy, fitness for purpose, merchantability, non-infringement, and uninterrupted availability; (b) Triaster shall not be liable for any loss arising from Customer reliance upon Outputs without independent human review and validation; (c) Triaster shall not be liable for claims arising from Customer publication, implementation, operational deployment, or external distribution of Outputs without appropriate independent review; and (d) Triaster's aggregate liability relating specifically to the AI Services shall not exceed the fees paid for AI Services and AI Credits during the twelve months preceding the relevant claim.
